Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Emma’s websites (including https://emma-ai.video), web application (https://app.emma-ai.video), APIs and backend services (https://api.emma-ai.video), Adobe Premiere Pro extension and related plugins (“Plugin”), optional desktop applications we make available, documentation, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be able to form a binding contract in your jurisdiction to use the Services. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and promptly update it when it changes.

2. License to use the Services

Subject to these Terms, Emma grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal or personal creative purposes. Except as permitted by applicable law, you may not: (a) copy, modify, distribute, sell, or lease any part of the Services; (b) reverse engineer or attempt to extract source code from the Services except to the extent expressly permitted; (c) interfere with or disrupt the Services or networks connected to them; (d) use the Services to build a competing product or service; (e) scrape or automate access in a manner that overloads or harms the Services; or (f) use the Services in violation of law or third-party rights.

3. The Plugin, Adobe Premiere Pro, and your projects

The Plugin integrates with Adobe Premiere Pro and may read, modify, or generate project data, media, timelines, bins, metadata, and related files. Features may execute automated or semi-automated actions in your project. You are solely responsible for backing up your projects and media before using the Plugin. Adobe’s terms and policies may also apply to your use of Premiere Pro.

4. AI-generated outputs and human review

The Services use artificial intelligence and automated systems. Outputs may be inaccurate, incomplete, unsafe for your particular workflow, or unsuitable for distribution. You are responsible for reviewing, testing, and approving any output before relying on it, including any code, edits, or instructions applied to your projects.

5. Your content and license to Emma

You retain rights in content you submit (“User Content”). You grant Emma and its service providers a worldwide, royalty-free license to host, copy, process, transmit, display, and distribute User Content solely as necessary to provide, secure, and improve the Services, including sending prompts and related materials to third-party AI providers as described in our Privacy Policy.

You represent that you have all rights needed to submit User Content and that doing so does not violate law or third-party rights (including intellectual property, privacy, and publicity rights).

7. Third-party services

The Services may integrate with or depend on third parties (including Adobe, cloud infrastructure vendors, payment processors, and AI model providers). Your use of third-party products may be subject to those third parties’ terms. Emma is not responsible for third-party services.

8. Subscriptions, fees, cancellation, and refunds

Paid features may require a subscription. Fees, taxes, renewal terms, and cancellation options are presented at checkout and in your account where applicable. Payments are processed by third-party payment providers. If you fail to pay fees when due, we may suspend or terminate access to paid features.

Cancellation. You may cancel your subscription at any time. Unless otherwise stated at checkout or required by applicable law, cancellation stops future renewals and charges and takes effect at the end of your current billing period.

Refunds. Except where required by applicable law, payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or unused usage limits. Nothing in these Terms limits any non-waivable statutory rights that apply to you.

9. Changes to the Services and Terms

We may modify, suspend, or discontinue the Services (in whole or in part) at any time. We may update these Terms by posting a revised version and updating the effective date. Your continued use after the effective date of material changes constitutes acceptance. If you do not agree, stop using the Services. Where required by law, we will provide additional notice or obtain consent.

10. Suspension and termination

We may suspend or terminate your access if you violate these Terms, create risk or possible legal exposure, or for operational reasons. You may stop using the Services at any time. Provisions that by their nature should survive termination (including intellectual property disclaimers, limitations of liability, and dispute terms) will survive.

11. Intellectual property

Emma and its licensors own all rights in the Services, including software, branding, and documentation. Except for the limited license in Section 2, no rights are granted. Feedback you provide may be used by Emma without obligation to you.

12. Disclaimers

To the maximum extent permitted by applicable law, the services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Emma does not warrant that the services will be uninterrupted, error-free, or free of harmful components, or that outputs will meet your requirements or be safe to apply to your projects.

13. Limitation of liability

To the maximum extent permitted by applicable law, in no event will Emma or its affiliates, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, goodwill, data, or business opportunities, arising out of or related to these terms or the services, even if advised of the possibility of such damages.

Premiere projects and files. To the maximum extent permitted by applicable law, Emma will not be liable for any damage, loss, corruption, or alteration of Adobe Premiere Pro projects, sequences, timelines, bins, media files, render files, autosaves, scratch disks, third-party plugins, shared projects, collaborative edits, or any other files or data on your devices or storage, whether caused by the plugin, generated code, automated actions, user error, third-party tools, or otherwise.

To the maximum extent permitted by applicable law, Emma’s aggregate liability arising out of or related to these terms or the services will not exceed the greater of (a) the amounts you paid to Emma for the services in the three (3) months before the event giving rise to liability, or (b) one hundred United States dollars (USD 100), if you have not had any payment obligations to Emma.

Some jurisdictions do not allow certain limitations; in those jurisdictions, Emma’s liability is limited to the fullest extent permitted by law.

14. Indemnity

You will defend, indemnify, and hold harmless Emma and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Services, or your violation of these Terms or law.

15. Export and sanctions

You represent that you are not located in a country subject to comprehensive sanctions or otherwise prohibited from using the Services under applicable export control or sanctions laws. You may not use or export the Services except as authorized by law.

16. Governing law; disputes

These Terms are governed by the laws applicable in the jurisdiction where Emma’s operating entity is established, without regard to conflict-of-law principles. Courts in that jurisdiction (or another mutually agreed forum where required by mandatory law) will have exclusive jurisdiction over disputes, unless applicable consumer law gives you a non-waivable right to bring claims in your home jurisdiction.

17. Miscellaneous

These Terms constitute the entire agreement between you and Emma regarding the Services and supersede prior agreements on the subject. If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without Emma’s consent; Emma may assign them in connection with a merger, acquisition, or sale of assets.
